1. Acceptance of Terms

By accessing or using ServHQ ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. These terms are governed by the laws of Queensland, Australia.

2. About ServHQ

ServHQ is a technology platform that connects businesses ("Job Posters") with independent contractors ("Workers"). Job Posters can post labour jobs for free, and Workers can browse and apply for those jobs. ServHQ does not process payments between Job Posters and Workers — payment is arranged directly between the parties.

ServHQ is a technology platform and marketplace operator. ServHQ is not a labour hire company, employer, or employment agency. ServHQ does not employ, direct, supervise, or control any Workers.

3. User Roles and Eligibility

You must be at least 18 years old and a resident of Australia to use ServHQ. By creating an account, you confirm you meet these requirements and that all information you provide is accurate and current.

When you create an account, you select one of two roles:

• Business — You are a business or sole trader posting jobs seeking independent contractors to perform labour work.
• Worker — You are an independent contractor seeking labour work. You are not an employee of ServHQ or of any Job Poster. You are solely responsible for your own tax obligations, superannuation, insurance, and compliance with all applicable laws.

4. Labour Marketplace — How It Works

• Posting jobs: Job Posters can post jobs for free. There is no charge to post a job or receive applications from Workers.
• Applying for jobs: Workers may browse open jobs and submit applications to those that suit them. Workers are under no obligation to apply for any job. Job Posters review applications and accept or decline each one.
• Accepting a worker: Accepting a Worker's application is free. There is no charge to accept workers on ServHQ.
• Payment between parties: ServHQ does not process payments between Job Posters and Workers. The Job Poster and Worker arrange payment directly between themselves (e.g. bank transfer, cash, invoice). ServHQ is not responsible for payment disputes between parties.
• Membership: ServHQ Pro Membership is a recurring monthly subscription at $9.99 AUD per month. Members receive unlimited worker accepts, priority job posting, worker directory access, direct messaging, and other benefits. Membership can be cancelled at any time with no lock-in contract.

5. Independent Contractor Relationship

Workers using the ServHQ Labour Marketplace acknowledge and agree that:

• They are independent contractors, not employees of ServHQ or any Job Poster.
• They may operate under their own Australian Business Number (ABN). ABN status is displayed on their profile.
• They are free to accept or decline any job at their sole discretion.
• They are free to work for other platforms, clients, and businesses simultaneously.
• They are solely responsible for their own income tax, GST (if applicable), superannuation, workers' compensation insurance, and any other statutory obligations.
• They provide their own tools and equipment unless otherwise arranged with the Job Poster.
• They may arrange a substitute to perform work on their behalf, provided the substitute meets any requirements specified by the Job Poster.
• ServHQ does not control the manner, method, or means by which they perform work.

Job Posters acknowledge that Workers engaged through ServHQ are independent contractors and that the Job Poster is responsible for providing a safe work environment, appropriate personal protective equipment (PPE), and site inductions as required by law.

6. Cancellations

Either party (Job Poster or Worker) may cancel a job at any time. Cancellations and no-shows are tracked through our accountability system:

• Each cancellation or no-show results in one mark against the cancelling party's profile.
• Three marks result in the account being flagged for review.
• Marks apply equally to both Job Posters and Workers.
• ServHQ reserves the right to suspend or terminate accounts with excessive marks.

7. Payments and Fees

• Posting jobs and accepting workers on ServHQ is free. ServHQ offers an optional Pro membership for businesses and workers at $9.99 AUD per month that provides additional features such as worker directory access, priority posting, featured profiles, and direct messaging. Payments are processed securely via Stripe.
• ServHQ does not process payments between Job Posters and Workers. Payment for work performed is arranged directly between the parties.
• All ServHQ fees are processed in Australian Dollars (AUD).
• Membership subscriptions renew automatically each month and can be cancelled at any time.

8. Your Account

• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately if you suspect unauthorised access to your account.
• You agree not to share your account with others or use another person's account.
• ServHQ reserves the right to suspend or terminate accounts that violate these terms, with notice and an opportunity to respond where practicable.

9. Acceptable Use

You agree not to:

• Submit false or misleading information, service requests, or job postings
• Use the Platform for any unlawful purpose
• Attempt to reverse-engineer, scrape, or misuse the Platform
• Harass, threaten, or abuse any other user, Worker, Job Poster, or ServHQ staff
• Circumvent any security, rate-limiting, or payment mechanisms on the Platform
• Post jobs with the intent of not paying for confirmed hours
• Accept jobs with the intent of not performing the work
• Circumvent ServHQ's acceptance process to avoid acceptance or membership fees

10. Disputes

Disputes between Job Posters and Workers should be resolved directly between the parties. ServHQ may assist in mediation at its discretion but is not obligated to do so. ServHQ is not liable for the quality of work performed, hours disputed, or any loss arising from the conduct of any user.

11. Liability Limitation

To the maximum extent permitted by Australian law, ServHQ's liability for any claim arising from the use of the Platform is limited to the total platform fees paid by the claimant in the 12 months preceding the claim. ServHQ is not liable for any indirect, incidental, or consequential damages. Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded.

12. AI Characters and Generated Content

ServHQ features AI characters (including Smoko Bot, Einstein, Murray, Robbie, and Headline Heather) powered by Anthropic's Claude AI. By using these features, you acknowledge:

• AI characters generate automated responses using artificial intelligence. These responses are for entertainment and general information only.
• AI-generated content does not constitute professional advice of any kind — including medical, legal, financial, or career advice.
• AI characters may produce inaccurate, inappropriate, or offensive content. ServHQ uses content guidelines to minimise this but cannot guarantee all responses will be appropriate.
• Your messages to AI characters are processed by Anthropic's API. By using AI features, you consent to this processing.
• ServHQ is not liable for any decisions made based on AI-generated content.

13. SMS Communications

By providing your phone number, you consent to receiving SMS messages from ServHQ, including:

• Job notifications, application updates, and group activity alerts
• Marketing and promotional messages about ServHQ

You may opt out of marketing SMS at any time by visiting servhq.com.au/unsubscribe. Opting out of marketing messages does not affect transactional notifications related to your account.

14. Intellectual Property

All content on the ServHQ Platform, including the AI characters, branding, and design, is owned by ServHQ and protected by Australian and international intellectual property laws. You may not reproduce or distribute any part of the Platform without written permission. Content generated by AI characters in response to your posts is owned by ServHQ.

15. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.
